UK Government advisory
The firm is a supplier on the UK Government’s Corporate Financial Services Framework Two (RM6169), beginning in June 2020. This expands upon and replaces the previous four-year corporate finance framework (RM3719) under which Smith Square Partners was also a supplier.
Advice to management, founders and non-executive directors
We provide specialist corporate finance advice to management teams (typically of private equity owned assets), founders and non-executive directors, often in circumstances where the interests of the parties do not align precisely.
Public company takeovers
Our partners have advised on over 100 public UK takeovers ranging in size from under £10 million to over £1 billion. In addition one of our partners was recently seconded to the UK Takeover Panel.
We advise our private sector clients on debt and equity fundraising options and assist them in realising their growth financing strategies.
Capital markets advice
We also provide specialist capital markets advice (on IPOs, secondary equity issues and debt capital markets transactions) drawing, where appropriate, on our collaboration agreement with STJ Advisors, one of London’s leading independent capital markets advisers.
Refinancing and restructuring advice
We have a wealth of experience in helping companies manage the complex issues around recapitalisation and restructuring, typically encompassing a combination of strategic advice, advice on deal structuring, access to capital, negotiation and M&A advice.
The business services sector has grown rapidly over the past decade or so as companies and governments have responded to a combination of, inter alia, regulatory change and cost pressures by outsourcing non-core or administrative functions to specialist providers.
We have relationships with a wide variety of companies in the sector, having advised on a number of high profile transactions in recent years in both the public and private markets. Our partners also have direct experience of sitting on the boards of publicly-listed business services companies.

Consumer, retail and leisure
The consumer, retail and leisure sectors have witnessed significant change in recent years as consumer spending patterns have altered in response to the financial crisis and technological innovation has given rise to new multi-channel distribution models.
We have a deep understanding of these trends and are constantly alert to the strategic challenges facing retail-facing companies. Our retail and consumer relationships and transaction experience span both the traditional and e-commerce universes.

Recent deal experience has been focused around companies specialising in niche financial services such as insurance broking, foreign exchange, VAT reclaims, payment cards and travel insurance. The team also has long-standing experience of transacting business in the asset management, general and specialist insurance and commercial banking arenas in the UK and internationally. In addition one of our senior advisers is the CEO of a UK building society.

Our relationships in the industrials and utilities sectors span a wide range of subsectors and geographies with particular focus on cross-border deals, public company transactions and complex M&A situations.

In utilities, transaction sizes span a similarly broad size range and our experience has been spread across a variety of water, gas and electricity businesses.
